SaleLab Merchant Pilot Terms and Conditions

You: the merchant accepting these terms (“Merchant”).
Effective Date: when Merchant ticks “I agree” and clicks the CTA (the “Effective Date”).

1) What You’re Getting (Scope)

SaleLab provides a WhatsApp-native sales agent connected to Merchant’s Shopify store to run outreach → conversation → checkout experiments (the “Services”). The agent deep-links to Merchant’s Shopify checkout; SaleLab does not collect or store payment card details. Guardrails include SKU exclusions, escalation to a human, and a kill switch that stops agent messaging promptly on request.

2) Merchant’s Responsibilities

  • Maintain a lawful opt-in list and approve WhatsApp message templates.
     

  • Provide necessary Shopify access (read/write product, order, discount scopes as agreed).
     

  • Fulfill orders, handle taxes, and provide customer support beyond chat handoffs.
     

  • Follow WhatsApp/Meta and Shopify terms and policies.
     

3) Fees & Billing

  • Pilot Fee: $20 per month SGD, billed monthly in advance to the billing method you provide.
     

  • Taxes (if any) are additional. No other fees apply during this pilot unless agreed in writing.
     

  • Fees paid are non-refundable.
     

4) Term, Renewal, Cancellation

  • Term: Month-to-month starting on the Effective Date, auto-renewing monthly.
     

  • Cancellation: Either party may cancel at any time by email to admin@salelab.ai (or via provided controls). Cancellation is effective at the end of the then-current billing period; Services stop and access is revoked.
     

  • Immediate suspension/termination for policy, legal, risk, or integrity reasons.
     

5) Data & Privacy

  • Ownership: Merchant owns its customer, order, and catalog data (“Customer Data”).
     

  • Use: SaleLab uses Customer Data only to deliver and improve the Services and may create aggregated or de-identified analytics that do not identify Merchant or end-users. SaleLab does not sell Customer Data.
     

  • Compliance: SaleLab handles personal data per applicable law (e.g., Singapore PDPA) and uses necessary subprocessors (e.g., WhatsApp/Meta, Shopify). See SaleLab’s Privacy Notice for details.
     

6) Acceptable Use & Policy Compliance

Both parties will follow WhatsApp Business Terms/Messaging Guidelines and Shopify terms. Merchant will not direct messaging to users without valid opt-in. SaleLab may throttle or pause campaigns to protect deliverability, user experience, or compliance.

7) Confidentiality

Non-public information shared under these Terms is confidential and used only to perform the Services. Each party protects the other’s confidential information with reasonable care.

8) IP & Licenses

SaleLab retains all rights in the agent, software, models, and know-how. Merchant retains all rights in its trademarks, content, and catalog. Merchant grants SaleLab a limited, revocable license to use Merchant marks/content solely to provide the Services.

9) No Guarantees

The Services are provided “as is.” SaleLab does not guarantee specific conversion rates, revenue, or outcomes during this pilot.

10) Liability Cap

Except for willful misconduct or amounts you owe, each party’s total liability is capped at the fees paid by Merchant to SaleLab in the 3 months before the claim. Neither party is liable for indirect, special, or consequential damages.

11) Changes to These Terms

If we make material changes, we’ll update the version date and may prompt re-acceptance. Continued use after notice constitutes acceptance of non-material updates.

12) Records of Assent (Click-Wrap)

Merchant agrees SaleLab may log the date/time, account/email/member ID, terms version, page URL, and relevant technical metadata (e.g., IP address/device) for evidentiary purposes.

13) Electronic Acceptance

Ticking the checkbox and clicking the CTA is an electronic signature under applicable law and binds Merchant to these Terms. If you accept on behalf of a company, you warrant you have authority to bind it.

14) Miscellaneous

These Terms are the entire agreement for the pilot and may be amended only as stated above or in writing signed by both parties. No assignment without consent (not unreasonably withheld), except to an affiliate or in a change of control. Governing law: Singapore; courts of Singapore have exclusive jurisdiction.
